A federal judge has denied a motion to dismiss a class action lawsuit filed against the Tezos Foundation and Dynamic Ledger Solutions (DLS) over their $232 million ICO in 2017.
The lawsuit alleges that the defendants sold unregistered securities to investors in the U.S. The defendants have argued that the ICO was conducted by the Tezos Foundation, which is based in Switzerland, and that they are therefore not subject to U.S. securities laws.
However, the judge found that the defendants were "deeply intertwined" with the Tezos Foundation and that the ICO was "functionally intertwined" with the U.S. The judge also found that the lead plaintiff, Arman Anvari, participated in the ICO from the U.S. and that he was targeted by marketing materials that were specifically aimed at U.S. residents.
