**SEC Sues Hydrogen, Moonwalkers Trading Platform and CEO for Alleged Securities Violations**
Yesterday (September 28), the SEC filed a lawsuit against Hydrogen and Moonwalkers Trading Platform as well as the CEO of two companies.
According to the SEC, Hydrogen distributed Hydro tokens through bonus programs and Airdrop in 2018, and listed the tokens on its trading platform "wearing" securities to sponsor Hydrogen. Not stopping there, CEO Michael Kane was also accused of hiring house to create Moonwalkers market as a token price, creating fomo in the community.
The SEC alleged that Hydrogen's actions constitute both market manipulation and illegal stock offering, not yet registered with the authorities, whether "hidden" in the form of AirDrop or reward.
"Companies cannot avoid the Federal Securities Law by structuring the proposals that have not yet been registered and sold securities in the form of bonuses, compensation or such categories," said an SEC representative in the statement.
However, the SEC's lawsuit is still difficult to prove that the distribution of tokens is offering securities. The complaint also quoted the letter from a investor to the Kane CEO as follows:
"Everyone admits that these digital assets [hydrogen] can accumulate value over time, argue that [AirDrop] is merely a fragile software distribution."
Back in February 2020, SEC Commissioner Hester Peirce said: "We even suggested that an AirDrop token in which the tokens were freely emitted can constitute a securities offering. How can a person set up and run a network when she could not even give the tokens needed to use the network?"
The above case is not the first time SEC is "interested". Gensler has repeatedly reaffirmed the view that "most tokens are securities" and requested registration with the SEC, whether decentralized or concentrated. Under the Gensler, though Gensler wants to purge the cryptocurrency industry, the SEC still "ignored" Bitcoin is outside the scope and never made any judgment that Ethereum was stock, but recently controversial with the stance "All Ethereum transactions are under the authority of the US government".
